Translations will be formatted following any design guidelines, if provided by Client and Client has purchased the Professional Translation package. An electronic copy of the Original(s)’ Japanese text will be sent to Client if this service is purchased by the Client. Translator will confirm the completion date on the Invoice. If the timeframe or scope of services change at any time from what is outlined above, Translator’s time will be billed as detailed under Current Rates and in addition to existing fees and reimbursements. Such changes in scope include research beyond what is normal for a routine translation due to ambiguities in the Originals, changes to Originals after paying the Invoice, and requests for the translation(s) to match style/vocabulary preferences of Client. COMPENSATIONFor the Services above and as defined on the Invoice, Client will compensate Translator as detailed on the Invoice. Client shall pay outside and out-of-pocket expenses Translator incurs on Client’s behalf, if any, including but not limited to overnight postal delivery and long-distance calls to clarify document ambiguity. Translator will notify Client prior to engagement of third-party services where possible. Payment of Translator’s invoice is to be completed within fifteen (15) days of issuing date. In the event payment is not received in a timely manner, five percent (5%) interest will accrue per month to the invoice. Payments will be credited first to late payment charges and next to the unpaid balance. If project is delayed for more than fifteen (15) days, Client shall be billed for work completed. If payments are thirty (30) days overdue, services will be halted until paid in full. Client shall bear all costs, expenses, and reasonable attorney’s fees in any action brought to recover payment under this Agreement or in which Translator may become a party by reason of this Agreement. CREDITS & PROMOTIONSTranslator is allowed to list her work for this project as part of Translator’s business marketing unless a Non-disclosure Agreement has been signed saying otherwise. In which case, Client shall write a recommendation letter or testimonial instead. Client credits Translator’s work in the same weight and style of type as used for acknowledgement of the printer and/or others involved in production of the finished document by the following statement: “English translation by Samantha Chan”. COMPLETION OF SERVICESTranslator and Client will exercise commercially reasonable efforts to stick to the schedule outlined under Services. Any delay or failure to complete services due to factors beyond their control will not be a breach of the Agreement on the part of either party. If Translator is unable to perform the Services outlined, she will notify Client at the earliest possible moment and make reasonable efforts to get Client in touch with a replacement. Client has thirty (30) days from the date translation(s) are emailed to Client to ask for any corrections. Requests for changes after thirty (30) days will be deemed “new work.” CANCELLATION OF SERVICESClient compensates for any and all work done through the date of termination in the amount equivalent to the percentage of total services completed, for any remaining contracted time as per Current Rates and for any and all outside expenses, as detailed under Compensation, incurred through and up to the date of cancellation. ENFORCEMENT, RIGHTS & DISPUTESClient remains sole owner of any Client-provided content and any physical materials will be returned upon completion of services. Translations become property of the Client upon complete payment of Compensation. Translator does retain the right to keep electronic copies of the item(s) to be translated and of their translation. If the nature of the work performed and/or of the information provided is expressly identified by Client in the Non-disclosure form field, it will remain confidential except as required by law. At no point will either party waive their rights by not enforcing this Agreement. All rights and obligations of each party under this Agreement will remain valid after the project has ended. All disputes will be litigated in the Circuit Court of Cook County, Illinois and the laws of the state of Illinois will apply to this Agreement. Revisions Terms and conditions will not change without prior notification. If any part of the Agreement becomes invalid, it will be updated via an Addendum attached to the original Agreement. Changes and negotiations for changes are possible before signing and a new document will be typed up and printed for signing. Changes to Translator’s rates apply to “new work” requested but not to in-progress or approved projects (as in, with signed Agreements). Relationship and roles of Client and Translator TRANSLATORSamantha Chan, Owner of The Sam Exponential, LLC (a) As an independent contractor, the Translator provides a service to the Client. (b) Translator’s duties will only include the duties listed on the Invoice. (c) Translator is not liable for any and all claims, actions, losses or damages (including reasonable attorneys’ fees) which Translator may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by Client for use by Translator in the work performed under this Agreement. (d) Translator is not liable for any changes or the consequences of those changes made to the translation without Translator’s written consent. CLIENTThe person requesting the work for themself or on behalf of another individual or group. (a) Client coordinates decision-making with any other parties involved in the project. (b) Client provides all materials and information necessary for Translator to perform her role and attests that such materials are the Client’s or have been licensed appropriately. In the event there is a dispute or third-party dispute as to the ownership of, permission for, or licenses to any content provided by Client, Client agrees to indemnify, defend and hold Translator harmless from any and all claims, causes of action or suits regarding said content. (c) Client is responsible for final proofreading. If Client has approved the emailed translation(s) but then finds errors, such as, but not limited to, typographic errors or misspellings, Client bears any cost of correcting such errors.
